Terms & Conditions

Innovation Hacking Lab offers its Services because there are customers interested in using them. We therefore request that you respect the rights of other fellow Users and those of Innovation Hacking Lab. In this context, we expressly draw your attention to the main provisions of these General Terms and Conditions of Use:

1. By accepting these Terms and Conditions of Use, the User enters into a binding legal agreement with Innovation Hacking Lab that will grant him or her access to the Innovation Hacking Lab Platform and the possibility to purchase the Innovation Hacking Lab Services.

2. If the User’s conduct does not contradict with the Terms hereby provided, there will be no obstacles in their long-term access to the Innovation Hacking Lab Website and Services.

3. The User is responsible for the Content he or she publishes or any of the data he or she provides via the Innovation Hacking Lab Dashboard. It is not allowed to publish Content that goes against public policy, security and morals.

4. The collection of data – either via technological tools or otherwise – for purposes other than those which the Innovation Hacking Lab Platform is intended for is prohibited. Jeopardising the functioning of the Innovation Hacking Lab Platform is also strictly prohibited.

5. Innovation Hacking Lab will not be liable for Content that is published on the Website or for any resulting disappointing outcome, or loss.

6. Innovation Hacking Lab will not be liable for any action and/or activity undertaken by a User or a third party that has as its object the Services offered by Innovation Hacking Lab. The exclusion of liability also applies to any damage or loss stemming from such activities and/or actions.
16.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.

16.2 The terms of this Agreement, the provision of the Service and the relationship between You and Innovation Hacking Lab shall be governed by the laws of the United States, Europe and Latin America depending on the location of the User.

16.3 The failure of Innovation Hacking Lab to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such a right.
15.1 Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party except as permitted by clause 15.2.

15.2 Each party may disclose the other party’s confidential information:
  • 15.2.1 To its employees, officers, representatives or advisers who may need access to it for the purpose of carrying out the relevant party’s obligations under this Agreement. Each party shall ensure that its employees, officers, representatives or advisers to whom it discloses confidential information comply with this clause;
  • 15.2.2 As may be required by law, court order or any governmental or regulatory authority.
14.1 Innovation Hacking Lab will not be liable for a failure to perform any of its obligations under this Agreement if such a failure is caused by the occurrence of any unforeseen contingency or by circumstances beyond the reasonable control of Innovation Hacking Lab, including but not limited to Internet outages and telecommunications outages.
13.1 Except as expressly provided herein, access to the Services does not grant You any database rights or rights in the copyright, trademarks or any other intellectual property rights of Innovation Hacking Lab or any third party.

13.2 The Services and everything on Innovation Hacking Lab.com, including the Downloadable Reports, Offline Resources and everything that is offered, is protected by copyright and other intellectual property rights, unless other type of license is specified in the content. You are not permitted to adapt, alter, modify, reverse engineer, de-compile or otherwise interfere with any element of the Service without Innovation Hacking Lab’s written permission. Innovation Hacking Lab may take steps to assist identification of its Service.

13.3 Innovation Hacking Lab claims no intellectual property rights over the material (“User Content”) that you provide to the Service. Your profile and content uploaded remain yours. However, by setting your pages to be shared publicly and/or inviting others to view your account, you agree to allow others to view your User Content.

13.4 Innovation Hacking Lab holds various mark registrations which shall not be used without the prior written authorization of Innovation Hacking Lab.
12.1 You agree to indemnify, defend and hold Innovation Hacking Lab, its parents, subsidiaries, affiliates, officers and employees harmless from any loss, cost, damage, claim or demand, including reasonable legal fees, made by any third party, incurred or suffered by Innovation Hacking Lab or its parents, subsidiaries, affiliates, officers or employees in connection with your use of the Services that breaches this Agreement.
11.1 The Terms shall enter into force on the date when You register on Innovation Hacking Lab.com and create an Innovation Hacking Lab Account and shall remain in force for an indefinite period of time.

11.2 You may be contacted by Innovation Hacking Lab during this Agreement period regarding new developments and products.

11.3 From time to time Innovation Hacking Lab may make alterations to Innovation Hacking Lab.com and to the online tool and in doing so will take reasonable steps to inform You of these changes with as much advance warning as possible.

11.4 You shall fully indemnify Innovation Hacking Lab against all third parties costs incurred in the pursuit of payment.

11.5 If Innovation Hacking Lab believes You have breached any provision of this Agreement or in the event of your insolvency or bankruptcy, Innovation Hacking Lab may, with an immediate effect and without a notice, suspend your access to the Services and terminate this Agreement.

11.6 Innovation Hacking Lab has the right to dissolve this Agreement in writing with an immediate effect and without a notice of default and/or to suspend Innovation Hacking Lab’s obligations and/or to exclude You permanently from the Services and/or to remove the content You have published on Innovation Hacking Lab.com or deny You access to same without prior notice if:
  • 11.6.1 You fail to meet the obligations pursuant to the Agreement and/or the Terms or if You fail to do so in full or on time;
  • 11.6.2 after conclusion of the Agreement Innovation Hacking Lab becomes aware of circumstances that give it good reason to fear that You will not perform your contractual obligations;
  • 11.6.3 circumstances of such nature occur that would make it impossible for Innovation Hacking Lab to perform the Agreement;
  • 11.6.4 Innovation Hacking Lab is notified that You have been involved in any way in publishing content on Innovation Hacking Lab.com that is discriminatory, racist, vindictive, offensive or otherwise unacceptable;
  • 11.6.5 Innovation Hacking Lab is notified that You have been involved in any way whatsoever in publishing content on Innovation Hacking Lab.com that is protected by intellectual property rights held by one or more third parties;
  • 11.6.6 You have been granted or requested suspension of payments.
11.7 Upon termination, You must use best efforts to delete all and any part of the Services held by You in any format and You may not make any further use of the Services.

11.8 Upon termination clauses 3, 4, 5, 6, 7, 8, 9, 10, 12, 13, 14, 15, 16 shall continue with full force and effect.
10.1 The Innovation Hacking Lab Service is not intended to be used as the sole basis for any decision-making and is based upon data which is provided by third parties, the accuracy of which it would not be possible for Innovation Hacking Lab to guarantee. Whilst Innovation Hacking Lab aims to maintain a quality, fully operative service at all times, the Service and third-party services are provided on an “as is” basis without warranties of any kind, whether express or implied.

10.2 Innovation Hacking Lab gives You no warranty or assurance about the contents of the Service. Whilst Innovation Hacking Lab does endeavour to maintain the accuracy and the quality of the Service, information contained may be incorrect or out of date. Therefore any use of the Service is at your own risk.

10.3 Innovation Hacking Lab disclaims all liabilities in contract, negligence, for breach of statutory duty, or under any indemnity or otherwise in connection with the Service and third-party service and shall not be liable for any indirect, or consequential loss. Innovation Hacking Lab shall not be liable for the following types of financial loss: loss of profits, loss of earnings, loss of business or goodwill in addition to the following types of anticipated or incidental losses: loss of anticipated savings, increase in bad debt and failure to reduce bad debt.

10.4 Where any matter gives rise to a valid claim against Innovation Hacking Lab, its liability shall be limited to a sum equal to the sum paid for the Services supplied under this Agreement in the year in which the claim arises.

10.5 Each party to this Agreement warrants that it has obtained and will continue to hold all necessary licenses, consents, permits and agreements required for it to comply with its obligations under this Agreement and for the grant of rights to the other party under this Agreement.
9.1 Innovation Hacking Lab reserves the right to make changes to the Innovation Hacking Lab Website and to the Services. In such occasions, Innovation Hacking Lab will take responsible steps to inform You of these changes with as much advance warning as possible.

9.2 Innovation Hacking Lab reserves the right to make price adjustments for the usage of the Innovation Hacking Lab Services. These price changes will be announced within one calendar month prior to their implementation.

9.3 INNOVATION HACKING LAB OBLIGATIONS AND CONDUCT
  • 9.3.1 All results generated by the Tools and the related Downloadable Analyses are saved and stored internally by Innovation Hacking Lab. Innovation Hacking Lab retains full control over these results and materials and will process them in the context of the services and products that Innovation Hacking Lab offers.
  • 9.3.2 Innovation Hacking Lab will process personal and company data in the context of the services and products that Innovation Hacking Lab offers. This also applies to the results generated by the Service and the related Downloadable Analyses.
  • 9.3.3 The Privacy Policy available through Innovation Hacking Lab.com describes the conditions under which Innovation Hacking Lab processes personal data. This Privacy Policy constitutes an integral part of these Terms and Conditions of Use. If You agree to the Terms You also agree to the aforementioned Privacy Policy.
8.1 In the eventuality of disservice or dissatisfaction of the Innovation Hacking Lab Services, You are entitled to request a refund for your first subscription purchase within seven (7) days after having completed the same, by following the procedure described in section 8.3 below. A refund will apply unless Innovation Hacking Lab detects any abusive or malicious activity on your Innovation Hacking Lab Account (abusive or malicious activity is defined as the consequent download of more than 2 Downloadable Analyses in the course of the first seven (7) days of your subscription purchase). Should You request a refund 7 or more days after your first subscription purchase, the refundability of your subscription payment depends on the sections below.

8.2 Given the nature of the services that Innovation Hacking Lab offers, Innovation Hacking Lab’s general policy is to not offer refunds for your subscription purchase seven (7) or more days after the date of such purchase, unless there has been a technical or administrative error within the platform and You have been charged after having explicitly requested the cancellation of your subscription.

8.3 In order to request a refund, You need to complete the Innovation Hacking Lab refund form and submit it to Innovation Hacking Lab in accordance with the instructions provided in the form. The form can be requested any time by Innovation Hacking Lab and upon its receipt by Innovation Hacking Lab, your request will be processed and within 48 hours You will receive feedback on the approval (or rejection) of your request.

8.4 Innovation Hacking Lab will assess each refund request taking into consideration the usage that was made of the services, the problems that You may have encountered, your overall reasoning behind making the request and the completeness of the information You have provided in the Innovation Hacking Lab refund request form.

8.5 If You request a refund seven (7) or more days after your subscription purchase, You will not be considered as eligible for a refund in the following circumstances:
  • You have changed your mind about the subscription;
  • You have forgotten to terminate your subscription in due time;
  • You purchased the subscription by mistake;
  • You do not have sufficient expertise to use the services.
8.6 If your refund request is approved, the refund will generally be done using the same payment method that you used to make the initial payment for the subscription.
7.1 All prices indicated on Innovation Hacking Lab.com are exclusive the applicable VAT and Tax rates. The VAT and tax rate applicable to a particular transaction will depend on your billing information.

7.2 Payments for the Subscription Services take place on a periodic and recurring basis, one day before the date on which your ongoing billing cycle ends.

7.3 The processing and facilitation of all payments for the Innovation Hacking Lab Services are handled on behalf of Innovation Hacking Lab by an online payment service provider.

7.4 You can request and download the invoices for all your subscription payments through the ‘Payment History’ button available at the ‘Account’ tab on your Innovation Hacking Lab Dashboard. Invoices can also be provided to You by email upon your request.

7.5 If for any reason a subscription payment is unsuccessful, Innovation Hacking Lab retains the right to terminate your subscription, taking into consideration all facts and circumstances. If your subscription is terminated by Innovation Hacking Lab due to an unsuccessful subscription payment, the termination will be communicated to You per email.
6.1 Upgrade from Innovation Hacking Lab Free to Innovation Hacking Lab Simulator, Innovation Hacking Lab Modeler, Innovation Hacking Lab Experimenter or Innovation Hacking Lab Premium: to execute this upgrade You need to submit an Order Confirmation and make the first payment for the subscription. Once You complete the payment process, You enter into a subscription agreement with Innovation Hacking Lab for an unlimited period of time that gives you instant access to the functionalities on your plan.

6.2 The upgrade of the plan can be made through a monthly or annual subscription, For each Annual Membership a minimum period of 365 days is charged.

6.3 Upgrade from Innovation Hacking Lab Simulator, Experimenter or Modeler to Innovation Hacking Lab Premium: to execute this upgrade You need to submit an Order Confirmation and make the first payment for the Premium Plan. Once You complete the payment process, Your subscription agreement with Innovation Hacking Lab for the Active Plan is immediately terminated and You enter into a subscription agreement with Innovation Hacking Lab for an unlimited period of time that gives You instant access to the Innovation Hacking Lab Premium Plan functionalities. If the price of the Active Plan subscription exceeds the price of the Pro Plan subscription, You can request the recovery of the difference from Innovation Hacking Lab.

6.4 Downgrade from Innovation Hacking Lab Premium to Innovation Hacking Lab Modeler, Simulator or Experimenter : Once you make the downgrade selection, You need to submit an Order Confirmation and make the first payment for the Modeler, Simulator or Experimenter Plan. Once You complete the payment process, your subscription agreement with Innovation Hacking Lab for the Premium Plan will terminate at the end of your ongoing billing cycle and only after it ends, You will enter into a subscription agreement with Innovation Hacking Lab for an unlimited period of time that will give You access to the Innovation Hacking Lab Modeler, Simulator or Experimenter functionalities.

6.5 Downgrade from Innovation Hacking Lab Premium or Innovation Hacking Lab Modeler, Simulator or Experimenter Plan to Innovation Hacking Lab Free: You may downgrade your Innovation Hacking Lab Premium or Modeler, Simulator or Experimenter Plan to the Innovation Hacking Lab Free Plan at any time. If You want to avoid being billed for another billing cycle, you need to cancel your Innovation Hacking Lab Plan at the latest within 24 hours before your ongoing billing cycle ends, in which case You will retain access to the paid functionalities until your ongoing billing cycle ends and only afterwards your account will be downgraded to the Innovation Hacking Lab Free Plan.

6.6 Change Billing Cycle: You may change the type of your current billing cycle at any time by requesting it through an email, submitting an Order Confirmation and making the first payment for the new billing cycle. If You select a different type of billing cycle than your current one, it will only become effective after your current billing cycle ends.
5.1 You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ('Content'), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Innovation Hacking Lab, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Innovation Hacking Lab Services.

5.2 Innovation Hacking Lab does not control the Content posted via the Innovation Hacking Lab Services and, as such, does not guarantee the accuracy, integrity or quality of such Content.

5.3 You understand that by using the Innovation Hacking Lab Services, you may be exposed to Content that is offensive, indecent or objectionable.

5.4 Under no circumstances will Innovation Hacking Lab be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Innovation Hacking Lab Services.

5.5 You agree to not use the Innovation Hacking Lab Services to:
  • 5.5.1 Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • 5.5.2 Harm minors in any way;
  • 5.5.3 Impersonate any person or entity, including, but not limited to, a Innovation Hacking Lab official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • 5.5.4 Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Innovation Hacking Lab Service;
  • 5.5.5 Upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • 5.5.6 Upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ('Rights') of any party;
  • 5.5.7 Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • 5.5.8 Disrupt the normal flow of dialogue, cause a screen to 'scroll' faster than other users of the Innovation Hacking Lab Services are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
  • 5.5.9 Interfere with or disrupt the Innovation Hacking Lab Services or servers or networks connected to the Innovation Hacking Lab Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Innovation Hacking Lab Services, including using any device, software or routine to bypass our robot exclusion headers;
  • 5.5.10 Intentionally or unintentionally violate any applicable local, state, national or international law;
  • 5.5.11 'Stalk' or otherwise harass another; and/or
  • 5.5.12 Collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through above.
4.1 A visitor to Innovation Hacking Lab.com is anonymous and may, optionally, create an Innovation Hacking Lab account and become an user by submitting the information required in the online account registration form.

4.2 The user must be a person. Accounts registered by “robots” or by other automated methods are not permitted.

4.3 You must provide your own personal data during the Innovation Hacking Lab Account registration process.

4.4 You are at all times responsible for maintaining the confidentiality of your Innovation Hacking Lab log in credentials. Innovation Hacking Lab cannot be held responsible in that regard.

4.5 You are responsible for all activities undertaken under and content placed within your Innovation Hacking Lab account. This responsibility also applies to all the activities performed outside the Innovation Hacking Lab Dashboard or InnovationHackingLab.com having as their object the Downloadable Reports obtained via the Innovation Hacking Lab Dashboard.

4.6 As a condition to using certain aspects of the Service, You will be required to register and select a User Name (collectively “User Name”, “Name”, “User ID”, “ID”, “User Profile”, “Administrative Profile”), a password, and one or more Company Profile Name(s) (collectively “Company”, “Company Profile”, or “Company Profile Name”).

4.7 You shall not (i) select or use as a User Name, password, or Company Profile Name the name or password of another person with the intent to impersonate that person; (ii) use as a User Name, password, or Company Profile Name the name or password subject to any rights of a person or an entity other than you without appropriate authorization; or (iii) use as a User Name, password, or Company Profile Name the name or password or content that is otherwise offensive, vulgar or obscene. Company reserves the right to refuse registration of, or cancel a User Name in its sole discretion.

4.8 By creating an Innovation Hacking Lab account, you are automatically enrolled in Innovation Hacking Lab’s communication outreach services. These services include email communications, newsletter distribution and other services Innovation Hacking Lab employs to disseminate information to members. You may unsubscribe at any time by clicking on the 'unsubscribe' link available in all distributed communication.
3.1 Innovation Hacking Lab grants You the non-exclusive, non-sublicensable, and non-transferable right to have access to the Services offered by Innovation Hacking Lab.

3.2 Visitors have only limited access to the Services and may not purchase the Subscription Services offered by Innovation Hacking Lab unless they become users.

3.3 Users have access to and are able to use the Innovation Hacking Lab Platform and have the right to purchase the Subscription Services offered by Innovation Hacking Lab.

3.4 The Services made available to You are provided solely for your own use. You shall not sell, transfer, sublicense, distribute, commercially exploit or otherwise make available to, or use for the benefit of, any of the Services. You may not include the Services in any product or service which You sell.

3.5 You shall not attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Services in any form or media or by any means. You shall not attempt to reverse compile, disassemble, reverse-engineer all or any part of the Services. You shall not access all or any part of the Services in order to build a product or service which competes with the Services and You shall not use the Services to provide services to third parties. Use of any automated system or software to extract data from the Innovation Hacking Lab Website or the Services (“screen scraping”) is hereby expressly prohibited.

3.6 During the Agreement Period You shall not attempt gaining unauthorized access to the Services or modify the same.

3.7 Innovation Hacking Lab does not guarantee the complete, accurate and timely delivery of the Services at all times, since shortcomings in the delivery of the Services may partially, but not exclusively, occur as a result of failures falling outside of the control of Innovation Hacking Lab, such as but not limited to failures in the Internet connection. Innovation Hacking Lab cannot be held responsible with regards to the hardware, software, peripherals and telecommunication connections necessary for accessing and making use of the Services, unless otherwise agreed upon in writing between You and Innovation Hacking Lab.

3.8 Innovation Hacking Lab is entitled to make changes to the Services at any time. If a change is reasonably foreseen to have significant consequences for You, Innovation Hacking Lab will use its best efforts to notify You in advance. If You continue to use the Services, You thereby indicate your consent to the changes made to the Services.
2.1 Agreement means the agreement that consists of these Terms and the Privacy Policy, concluded between You and Innovation Hacking Lab, and governing your access to and use of the Innovation Hacking Lab Services.

2.2 Visitor means any person who visits InnovationHackingLab.com and who can make use of the Innovation Hacking Lab services without becoming an user.

2.3 User means any visitor who registers to the Innovation Hacking Lab Platform and has a personal account and a Dashboard, and who may make use of the Innovation Hacking Lab Services and purchase the subscription services offered by Innovation Hacking Lab.

2.4 Innovation Hacking Lab Website means the homepage of InnovationHackingLab.com and all related web pages, through which a visitor can access the Innovation Hacking Lab Platform and Services.

2.5 Innovation Hacking Lab Platform means the framework and environment made available by Innovation Hacking Lab to visitors and to users, which allows accessing and using all Services offered by Innovation Hacking Lab.

2.6 Innovation Hacking Lab Dashboard means the personal page of the user on the Innovation Hacking Lab Platform.

2.7 Innovation Hacking Lab Services means the services supplied by Innovation Hacking Lab to visitors and to users, consisting of the use of and access to the Innovation Hacking Lab platform, maintenance, updates and support in the use of the Innovation Hacking Lab platform and other offered services.
  • 2.7.1 Input Sections means the page(s) on the Innovation Hacking Lab Dashboard for the collection of visitor or user data;
  • 2.7.2 Innovation Hacking Lab Methodology means the proprietary methodology developed and used by Innovation Hacking Lab for the development of an innovation business project.
  • 2.7.4 Downloadable Report means the report containing the Business Model and any other data results generated by the Innovation Hacking Lab Methodology, and available for downloading by the user through the Innovation Hacking Lab Dashboard.
2.8 Visitor/(End)User Data means all the information (in the broadest sense, including both identifiable and anonymous data) provided by the visitor or the (end) user on the Innovation Hacking Lab Platform and required for the performance of the required business processes.

2.9 Subscription Services means paid services offered by Innovation Hacking Lab on the basis of a subscription agreement between the user and Innovation Hacking Lab, whereby Innovation Hacking Lab is obliged to provide the user with an upgraded Innovation Hacking Lab account and functionalities and the user is obliged to pay the (recurring) subscription services price, which varies depending on the contracted functionalities.

2.10 Personal Data means all information (in the broadest sense) required by visitors in order to become users and submitted by them to Innovation Hacking Lab via the online registration form.
1.1 The following Terms and Conditions apply to the access to and use made of the Innovation Hacking Lab Services and together with the Privacy Policy constitutes the entire agreement between You and Innovation Hacking Lab.

1.2 The Innovation Hacking Lab website will be jointly referred to as “InnovationHackingLab.com”.

1.3 By using the online tool on InnovationHackingLab.com , you agree to be bound by the Terms and Conditions set out herein. Please make sure You have read and understood the Terms before using the online platform. If you do not agree to the Terms, you are not authorized to make use of the Innovation Hacking Lab Services.

1.4 We reserve the right to amend the Terms from time to time without prior notice to You. If a change has taken place, there will be an indication at the bottom of the Terms of the date they were last revised.
